Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Hexa website, applications, APIs, and related services (collectively, the “Service”) provided by Salesbot Labs, Inc. (“Hexa,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Who may use the Service

You must be at least the age of majority in your jurisdiction and capable of forming a binding contract. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and “you” refers to that organization.

2. Accounts

You are responsible for the activity that occurs under your account and for keeping your credentials secure. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that create risk or possible legal exposure for Hexa or others.

3. The Service

Hexa is a workflow-intelligence runtime that connects your third-party providers, authors and runs capabilities and workflows on your behalf, and enforces an organization-wide approval policy over those actions. You control which providers are connected and the approval policy that governs how actions execute.

4. Your content and connected accounts

The Service acts on data from the third-party providers and accounts you connect (your “Content”). You retain all rights in your Content. You grant Hexa a limited license to access, process, transmit, and store your Content solely to operate and improve the Service for you and as directed by your use of the Service. You are responsible for having the rights necessary to connect those accounts and for your use of any output.

5. Third-party providers

The Service integrates with third-party services (for example CRM, email, calendar, meeting, and issue-tracking providers). Your use of those services is governed by their own terms and privacy policies. Hexa is not responsible for third-party services, and their availability or behavior may change outside our control.

6. Acceptable use

You agree not to:

• use the Service to violate any law or the rights of others;
• attempt to gain unauthorized access to the Service or its related systems;
• interfere with or disrupt the integrity or performance of the Service;
• reverse engineer or resell the Service except as permitted by law; or
• use the Service to send spam or transmit malicious code.

7. Fees

Paid features, if any, are billed as described at the time of purchase. Except as required by law or expressly stated, fees are non-refundable. We may change pricing on prospective notice.

8. Intellectual property

The Service, including its software, design, and trademarks, is owned by Hexa and its licensors and is protected by law. These Terms grant you no rights to our trademarks or branding.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Hexa does not warrant that the Service will be uninterrupted, error-free, or that any action taken through it will produce a particular result.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEXA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE {{LIABILITY_CAP_PERIOD, e.g. TWELVE (12) MONTHS}} PRECEDING THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US$100).

11. Indemnification

You will defend and indemnify Hexa against claims arising from your Content, your connected accounts, or your breach of these Terms, except to the extent caused by Hexa.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or to comply with law. Sections that by their nature should survive termination will survive.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by posting the updated Terms with a new effective date). Continued use after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of {{GOVERNING_LAW_JURISDICTION, e.g. the State of Delaware, USA}}, without regard to its conflict-of-laws rules. The exclusive venue for disputes will be the courts located in {{VENUE}}, unless applicable law requires otherwise.
